Nugget Resources Largely Catches Up With SEDAR Filings

Nugget Resources [NEX: NUG.H], a NEX stock that's been suspended, has filed financials and management discussions & analyses with SEDAR, for fiscal years going all the way back to 2004. The first two filed documents comprise a 3-in-1 set of audited annual reports for fiscal years 2004-2006 [PDF file] and the accompanying M D & A [another PDF file].

As might be expected, the annual reports show no activity. Nugget had no cash for any of those three years, and the only current assets were for prepaid expenses of a near-constant amount. Current liabilities went from $91,286 in FY 2004 to $92,971 in FY 2005 to $103,321 in FY 2006, showing an increasing working-capital deficit. Book value was negative, and decreasing, for all of those three years: -0.595 cents/share in FY '04, -0.607 cents/share in FY '05, and -0.676 cents/share in FY '06. This decrease is reflective of the fact that Nugget had no income for any of those years. The only expenses were for professional fees, in the amount of $5,000 for each year, and transfer agent and filing fees, which increased through the three years to $5,350 in FY '06 from $2,729 in FY '04. The M D & A specifies that the professional fees were accounting (auditing) fees, presumably for the preparation of the financials. A $8,184 gain on a settlement of a debt in FY '05 kept the loss from increasing relative to FY '04, as FY '06's did. Note 4 of the annuals explains that a former subsidiary company forgave a debt owed it by Nugget, which gave rise to the gain.

The loss for FY '06 was $10,350, as compared with $1,711 for FY '05 [$9,895 excluding the gain] and $7,729 for FY '04. For all three years, the annual loss was less than a cent/share. The only inflow of cash was from increases in accounts payable and "Advances from related parties," in the amount of $2,729 for FY '04, $4,869 for FY '05 and $5,350 for FY '06. Note 1 of the financials is quite blunt about the status of Nugget Resources: "The Company has no assets, and no source of cash flow. The ability of the Company to continue as a going concern is dependent on the identification of new opportunities, in the mineral exploration area or other opportunities, and obtaining additional financing from its existing or new shareholders." The same point, made on p. 2 of the M D & A for those three years, adds this sentence: "Failure to obtain such additional financing could result in the dissolution of the Company."

Note 5, dealing with income taxes, spells out how much tax-loss carry-forward Nugget has, with a yearly itemization and this summing up: "At June 30, 2006, the Company has available capital losses of $1,015,002 (2005 and 2004 $1,015,002) which may be carried forward to reduce taxable capital gains in future years. The Company has available mineral resource related expenditure pools totaling approximately $77,680 (2005 and 2004 - $77,680) which may be deducted against future taxable income on a discretionary basis." And that's basically all that it has - all non-vendible. The bulk of Nugget's annuals' M D & A is devoted to explaining the corporate-governance structures it has in place.

The interim financial statements, filed for the first, second and third quarters of FY 2007 which end on Sept. 30/06 [PDF file], Dec. 31st/06 [another PDF file] and March 31 of this year [a third PDF file] show a similar picture except for an increase in General and Administrative expenses to $7,950, $7,507 and $7,500 for each respective quarter. All cash needs were, once again, met by advances from related parties. The respective M D & As for the three quarters [PDF file for 1Q, PDF file for 2Q and PDF file for 3Q '07] all explain the increase in the costs as re-activation consulting fees. For all of the above periods, the company's expenses were paid for by related party "Drillsearch Energy (Canada) Inc. ('Drillsearch') a company with directors in common."

Highlighted NEX Stocks For October 4th

Thirty-six NEX stocks traded on Thursday. Of these, 8 advanced, 9 declined and 19 remained unchanged. There were 156 trades. The top trader in terms of raw volume was the same as Wednesday's: Global Tree Technologies Inc. [NEX: GTT.H]. What was not the same was the number of shares traded. The daily volume of GTT.H was 1,532,000 shares, almost a million more than Wednesday's category-topper and the highest daily volume for a NEX stock in months. Global Tree not only topped the list in raw volume, but also had the greatest number of trades on Thursday. According to the TSX Venture closing summary, Global Tree was also the top trader in terms of value of shares traded for Thursday. It also was the top percentage gainer amongst NEX stocks, and placed first on the top-ten list of volume traded divided by total shares outstanding (found below,) as it did yesterday. This list of five firsts for the day basically makes GTT.H the "stock of the day." In a Stockhouse discussion board devoted to the stock, there was lots of discussion. Interestingly, the first post of the day on GTT.H discussed why the use of Bollinger bands indicated a big move. This may have been a self-fulfilling prophecy. No news releases were disseminated by Global Tree on Thursday. [Disclosure: I posted on that "BullBoard" too, under the monicker "botfed."]

Two NEX stocks traded more than ten times on Thursday, the most numerous being Global Tree. GTT.H traded almost six times the number of the second placer in this category, the now-familiar Silvio Ventures [NEX: SIV.H]. The first of GTT.H's 62 trades was made more than three hours after the market opened, at about 12:45 PM ET. This trade was of 10,000 shares at 2 cents/share. Amongst the trades were many blocks, groups of trades which went at the same time with one financial institution either on the buy or sell side for that entire group. In the face of the climb, some of these presumed blocks appeared to be sold blocks, with a single financial institution on the sell side. The presence of TD Securities was evident in long stretches of trades composed of separate trades and/or different blocks. TD operates a popular discount brokerage service: when this fact is combined with the evidently spontaneous enthusiasm in the discussion board linked to in the above paragraph, there were more blocks than a simple reading of the financial institutions would indicate.

It took less than seven minutes for the price of Global Tree to go from 2 cents/share to 2.5 cents/share, the price at which 21 of the 62 trades took place. Only six of the trades - the first six - went at 2 cents/share, and the other 35 went for 3 cents/share. With the exception of a trade at about 3:39 PM ET, of 41,000 shares at a time when the activity in GTT.H was settling down, the last trade at 2.5 cents/share was at almost exactly 2:45 PM; it was the 38th trade of the day. A total of 168,000 shares of GTT.H traded at 2 cents/share on Thursday, with total value of $3,360. At 2.5 cents/share, a total of 650,000 traded for a value of $16,250. A total of 714,000 shares went at 3 cents/share, for a total value of $21,420 of GTT.H at that price. As indicated above, the 2-cent'ers were all at the start of GTT.H's Thursday trading. While there was some intermixing between the 2.5 cent'ers and the 3-cent'ers, the latter clustered near the later times and the former clustered around the earlier times. All of the above indicate a buying rush, which (as noted above) may have been a forecast-driven stampede.

The second most numerous trader was the above-mentioned Silvio Ventures, with 11 trades during the day. All but one were odd-lot-sized; those ten odd lotters were bought through PI Financial, as has been the case recently. The one board-lot-sized trade of the day, the last, was at 50 cent/share; PI was not involved with it. The odd-lot'ers were all at 47 cents/share. Silvio closed at 50 cents/share, unchanged since Wednesday's close, with total daily volume of 2,575 shares.

The top percentage gainer in Thursday's trading was, as mentioned above, Global Tree, which closed at 3 cents/share for a gain of 1.5 cents/share or a flat 100% on the day. The top percentage decliner for Thursday was Wednesday's top percentage gainer, Mazarin Inc. [NEX: MAZ.H]. Mazarin closed at 8.5 cents/share, for a decline of 1.5 cents/share or 16.67% on the day. Two of the three trades in MAZ.H, comprising 6,000 shares between them, were made right at the opening, and the third, of 10,500 shares, took place within a minute of the open. The first two had the same financial institution on the sell side, National Bank, while the third one had a different sell-side financial institution, Desjardins Securities. All three trades were for the closing price of 8.5 cents/share. Total daily volume was 16,500 shares.

Finally, the above-mentioned list of yesterday's top ten traders, as measured by % of total outstanding shares or daily turnover (all prices in per-share terms):

NEX Report for October 3, 2007


On Wednesday, the Barrel's Bottom Composite Index for the NEX closed at 86.73, up 0.39 points or 0.452% from Monday's close at 86.34. Within a minute of the opening of trading, the BBC Index was actually down by more than a fifth of a point, despite 1-cent/share opening rises in Toba Industries Ltd. [NEX: TBG.H] and Tapango Resources Ltd. [NEX: TPA.H], because of a 5-cent opening drop in the price of Newstrike Capital Inc. [NEX: NES.H]. NES.H declined to $1.10/share, on a pair of trades at the same time that were the only ones for the day in that stock. As of 9:31 AM ET, the BBCI was below 86.1. A half-cent drop in Toba as of about 9:34 AM pushed the index down to below 86.04.

This slump ended at about 9:43 AM ET with a 1-cent/share opening rise in Arcland Resources Inc. [NEX: ADR.H] and was added to considerably within the next minute by an 8 cent/share upsurge in The Silver Recycling Company Inc. [NEX: TSR.H]. By 9:44 AM ET, the BBCI was at 86.21. A 2-cent/share opening gain in the price of Rocher Deboule Minerals Corp. [NEX: RD.H] pushed the index up to 86.32, but it was a half-cent bounceback of Toba to its opening price that put the index in positive territory. It stayed at that level until about 10:28 AM ET, when a boost from a 3-cent/share opening jump in Mazarin Inc. [NEX: MAZ.H] put the BBCI at almost exactly 86.67. It drifted downwards to minisculely below 86.5, at about 11:53 AM ET, and stayed at almost exactly this level, one made 87.5 because of rounding-off, until 1:06 PM ET; it was back at almost exactly the same level after a eighteen-minute jump ended.

At about 2:30 PM ET, another jump took place, but one more durable than the one earlier in the afternoon. After descending to 12 cents/share at about 1:21 PM ET, Toba went back up to 13 cents/share right before 2:30 PM ET. About three minutes later, a 3 cent/share opening rise in Abitibi Mining Corp. [NEX: ABB.H] put the BBCI up to 86.85, and a 4 cent/share opening gain in First Idaho Resources Inc. [NEX: FI.H] pushed the index up to almost exactly 87. It stayed there until about 3:20 PM ET when it dropped to 86.84, and to 86.76 at about 3:21 PM ET. Both drops had the same cause: interday declines in Abitibi, which closed unchanged on the day despite its initial gain.

The BBCI was pushed down further by a drop in the price of Focus Ventures Ltd. [NEX: FCV.H], which had been one of the hidden risers during the day. The seventeen-minute bubble was largely due to Focus moving from its opening board-lot price of 40 cents/share, for an opening gain of 4 cents/share, to the day's high of 44.5 cents/share at exactly the same time of its first trade. It added more than a tenth-of-a-point boost to the index as of the above-mentioned time of 1:06 PM ET. Its impact was cancelled out by a drop in Toba, though, and by a 6.5 cent/share drop in Focus itself as of about 1:24 PM ET, the time of the bubble's end. Focus moved down to 35 cents/share on the last NEX trade of the day, as of about 3:41 PM ET, to close a penny/share below Tuesday's close. This last push-down brought the BBCI to its closing value of 86.73.

News Releases From NEX Companies For October 3rd

There were no news release from any NEX company that was picked up by Marketwire on Wednesday. On the other hand, two NEX companies were mentioned in Wednesday's TSX Venture Daily Bulletins. The first one is from Jalna Minerals Ltd. [NEX: JMA.H]; it announced a trading halt as of 11:36 AM PT, or 2:36 PM ET, pending news from the company. Another bulletin, from Pan Terra Industries Ltd. [NEX: PNT.H], announces the continuation of the trading halt in PNT.H "pending receipt and review of acceptable documentation regarding the Change of Business and/or Reverse Takeover pursuant to Listings Policy 5.2." Canjex Publishing has webbed copies of both the Jalna announcement and the Pan Terra one. There were no other releases sent through Canjex on Wednesday by any NEX company. JMA.H closed on Wednesday at 30 cents/share, unchanged because the two pre-halt trades (both at 25.5 cents/share) were odd-lot sized; the last board-lot-sized trade in Jalna was made last Friday. PNT.H last closed at 49.5 cents/share on July 12th, the same day of the halt.

Toba Industries Files Interim, Unaudited Statement With SEDAR

The financial statements for Toba Industries Ltd. [NEX: TBG.H] have been released, for the second quarter of fiscal year 2007 ending July 31st [PDF file.] As of July 31st, Toba has $689,635 in cash and cash equivalents, and $370,005 in working capital. Also listed on the books as an asset (a non-current one) is a $1,489,223 loan to Peking Marvel Cleansing Supplies Co., Ltd., which is actually the amount of the proceeds of a Special Warrant financing for the takeover of Peking Marvel. Should that takeover fall through, Peking Marvel shall be deemed to have borrowed the money from Toba.

The company had net expenses of $206,287, making for a loss of the same amount for the quarter. The loss in the same quarter of FY '06 was $370,428. The lessening of the loss is partially attributable to no stock-based compensation being granted this last quarter, and reductions in professional and management fees. Also included in the Statement of Expenses is interest income, in the amount of $7,696 for 2Q '07 as compared with $2,959 for 2Q '06. Loss per share was 0.4 cents in the more recent period, as compared to 0.8 cents/share for the latter period. The increase in cash for the latest quarter effectively came from the proceeds of exercised warrants; as noted above, the proceeds meant for the takeover of Peking Marvel have been accounted for as a loan to Peking Marvel. Book value of Toba as of July 31st is 3.31 cents/share, up from 1.36 cents/share as of Jan. 31st, 2007. The increase in book value is due to the above financing.

The accompanying Management Discussion and Analysis [another PDF file] discloses the takeover arrangement with Peking Marvel. Toba is set to take over 100% of the equity of Peking, in the form of a reverse takeover for "the number of treasury shares of the Company as is determined by the independent evaluation report prepared by Evans & Evans and approved by the TSX Venture Exchange on the business and assets of Peking Marvel and in no event shall be less than 58% of the Company’s issued and outstanding common shares after giving effect to a deemed financing of US$4,500,000 (US$2,000,000 of which must be completed on or before the completion of the acquisition of the Shareholder Equity by the Company and US$2,500,000 of which the Company and Peking Marvel plan to but are not obligated to raise following the Closing)." In other words, the present owner(s) of Peking Marvel could wind up with majority control of Toba - standard for a reverse takeover. The M D & A also cites a $27,558 reduction of travel and promotion expenses as the reason for the shrinking of the quarterly loss, and notes that another financing in the amount of $2,025,000 has been announced but not completed as yet.

Highlighted NEX Stocks For October 3rd

Thirty-one NEX stocks traded on Wednesday. Of these, 8 advanced, 4 declined and 19 remained unchanged. There were 103 trades. The top trader in terms of raw volume was Global Tree Technologies Inc. [NEX: GTT.H], with 557,000 shares traded Tuesday. There were ten trades in GTT.H, all at the same price of 1.5 cents/share, which left it closed unchanged since Tuesday's close. The trades appeared to be composed of four sold blocks, one as large as 285,000 shares.

According to the TSX Venture closing summary, the top trader for Wednesday in terms of value of shares traded was the same as yesterday's: Toba Industries Ltd. [NEX: TBG.H]. Toba closed at 13 cents/share, up 1 cent/share since Tuesday's close; it was also the runner-up in terms of raw volume. Global Tree placed first on the top-ten list of volume traded divided by total shares outstanding, found below; Toba placed fourth.

Two NEX stocks traded more than ten times on Wednesday, the most numerous being a familiar name in this category recently. Silvio Ventures Inc. [NEX: SIV.H] traded fifteen times; as has been usual, many of those trades were odd lots (eleven in Wednesday's case,) with all of those odd lots being bought through PI Financial. All of the eleven went for 47 cents/share. PI also appeared on the sell side, dropping 5000 shares of SIV.H, in three board-lot-sized trades at the same time, about 10:12 AM ET, at 50 cents/share. The other board-lot-sized trade went for the same price, leaving SIV.H unchanged since Tuesday's close on volume of 6,672 shares.

The second most numerous trader was the above-mentioned Toba Industries, with 11 trades during the day. Nine of those eleven had five-figure volumes. The first trade went for a cent above Tuesday's closing price; the second, of 50,000 shares at 12.5 cents/share, was 0.5 cents/share above the close. Four other trades were at 13 cents/share, interspaced with ones at 12 cents/share. Since the last reported one went at the former price, Toba closed with a gain of a cent/share on the day.

The top percentage gainer in Wednesday's trading was Mazarin Inc. [NEX: MAZ.H], which closed at 10 cents/share for a gain of 3 cents/share or 42.86% on the day. Two trades of 1,000 shares each, both within one minute of each other as of 10:28-29 AM ET, put Mazarin in this spot, as well as within 0.5 cents/share of its 52-week high. Both trades had Desjardins as the buy-side financial institution, and Anonymous as the sell-side institution. So, it's impossible to tell whether it was a bought block or a sold block even though common sense suggests the former. (FYI: if one account sold 2,000 shares to one account at the same price, it wouldn't appear as 2 trades unless two unusual kinds of orders were placed.)

The top percentage decliner for Wednesday was Newstrike Capital Inc. [NEX: NES.H]. Newstrike closed at $1.10/share, down 5 cents/share for a loss of 4.35% on the day. One trade of 4,000 shares, right at the opening, put Newstrike on the top of the decliners for Wednesday.

NEX Report for October 2, 2007


On Tuesday, the Barrel's Bottom Composite Index for the NEX closed at 86.34, down 0.65 points or 0.975%, from Monday's close at 87.19. The BBC Index started the day with a slight gain, despite a 0.5-cent drop in the share price of Golden Hat Resources Inc. [NEX: GHA.H] within the first minute of trading, because of a 3.5 cent/share rise in the price of SMC Ventures Corp. [NEX: SMV.H] in the same time period. A 1 cent/share drop in the price of Abitibi Mining Corp. [NEX: ABB.H], on its first board lot trade of the day at about 9:57 AM ET, pushed the BBCI from a gain to a loss. The index dropped below 87 for the first time, as of about 10:22 AM, because of a 0.5-cent/share drop in Biomerge Industries Ltd. [NEX: BIL.H]; it stayed around 86.9 for the rest of the morning.

87 was broached on the upside at about 12:25 PM ET, thanks to a 1.5 cent/share rise in Toba Industries Ltd. [NEX: TBG.H] from its last price as of about two hours previously. A further 0.5 cent/share rise in Toba eight minutes later, to 12.5 cents/share, pushed the BBCI close to even. Toba closed at 12 cents/share, up 1.5 cents/share on the day.

This resurgence didn't last very long, though, because of a 1 cent/share drop in the price of Rocher Deboule Minerals Corp., at about 1:09 PM ET, from its previous trade price as of about 11:18 AM ET. Despite a push-back from a 0.5 cent/share rise in MP Western Properties Inc. [NEX: MPW.H] about two minutes later, the index continued to drift downwards, until it dropped back through 87 due to a 15 cent/share drop in the price of Devin Energy Corporation [NEX: DVC.H] at about 1:32 PM ET. This drop was followed by a 5 cent/share decline in the price of Maximum Ventures Inc. [NEX: MVI.H] on its first board-lot-sized trade of the day. As of 1:43 PM ET, the BBCI was down to below 86.55.

A creep upwards back to about 86.59 was cold-decked as of about 2:32 PM ET by a 1-cent/share decline in the price of Moneta Resources Inc. [NEX: MOT.H], which took its price back to unchanged on the day. The 85.5 floor was penetrated on the downside right after the start of the last hour of trading, with a 2-cent/share decline in Monster Uranium [NEX: MU.H] from its previous trade, as of about 3:01 PM ET. This drop put Monster down 2 cents/share on the day. The rest of the last hour of trading saw the BBCI churn until two minutes before trading ended, with the last trade of the day of Focus Ventures Ltd. [NEX: FCV.H]. Focus dropped 3 cents/share from its previous board-lot-sized trade to finish the day with a 0.5 cent/share loss from its previous close on last Friday. This last trade left the BBCI at its closing value of 86.34.
